China Merchants Property Development Co., Ltd:

An Application for the Listing of Unlisted Foreign Capital Shares in the B-share Market of your company has been received. According to the provisions of the Procedures for Handling the Listing of Unlisted Foreign Capital Shares of Listed Foreign Capital Share (B-share) Companies within the Chinese Territory (No. 24 [2001] of the CSRC) and the Circular on Printing and Distributing Some Opinions on the Relevant Issues regarding Foreign Investment as Involved in a Listed Company (No. 538 [2001] of the Ministry of Foreign Trade and Economic Cooperation) and the Supplementary Circular on the Relevant Issues regarding the Conversion of Unlisted Foreign Capital Shares of Foreign-funded Joint Stock Limited Companies into Tradable B-shares (Letter No. 902 [2002] of the Ministry of Foreign Trade and Economic Cooperation) as well as the application as filed by the holders of unlisted foreign capital shares of your company, this Commission has carried out a verification thereon and now approves the application for the listing of unlisted foreign capital shares of your company. We hereby notify it as follows:

I. We agree that the 62,7627 million unlisted foreign capital shares of your company as held by the Hong Kong Quantianyu Investment Co. Ltd. are converted into tradable B-shares. After 1 year as of this very day, they shall be listed in the B-share market of the Shenzhen Stock Exchange and your company shall assist in arrangement for the listing of these shares.

II. Your company and the Hong Kong Quantianyu Investment Co. Ltd shall perform the relevant obligation of information disclosure according to the relevant provisions.
